Solutions India Pvt Ltd (“ITS”, “ITSIPL”, “Company”, “we”, “us”, “our”), a company incorporated under the Companies Act, 1956, having CIN U72200DL1996PTC076426, with its registered office at D-88/5, Okhla Industrial Area, Phase-I, New Delhi, NCT, 110020, India.

By accessing the website, placing an order, requesting a quotation, or engaging our services, you (“User”, “Customer”, “Client”, “you”) agree to be bound by these terms, our privacy policy, and our return, refund, and cancellation policy. If you do not agree, please discontinue use of the website.

Eligibility

The products and services are intended primarily for corporate, business, government, and institutional clients (“B2B” use) and for individuals who are at least 18 years of age and legally competent to enter into a binding contract under the Indian Contract Act, 1872. By using the website, you represent that you meet these criteria and, where applicable, that you are authorised to bind the organisation on whose behalf you are transacting.

ITSIPL offers, among other things:

• IT infrastructure hardware and networking equipment (servers, storage, endpoints, and related components);
• E-Security solutions, including firewalls, antivirus, intrusion prevention, VPN, and encryption products;
• Data storage and backup solutions;
• Software licences (procured from, or on behalf of, original manufacturers/OEMs);
• Installation, implementation, consulting, managed services, and Annual Maintenance Contracts (“AMC”);
• General IT services and support requested through the website or offline channels.

Product images, specifications, and descriptions on the website are provided for general information and are sourced, where applicable, from OEM/manufacturer data. While we make reasonable efforts to keep this information accurate, actual specifications, pricing, and availability are subject to confirmation at the time of order or quotation.

Use of the Website

• attempt to gain unauthorised access to any portion of the website, our systems, or related networks;

No part of the Website may be reproduced, distributed, or used commercially without our prior written consent, except as necessary to place an order or use the Services as intended.

Third-party trademarks, product names, and logos referenced on the website (including OEM/manufacturer brands we resell or partner with) belong to their respective owners and are used for identification purposes only.

Third-Party Products, Links and Services

The website may reference or link to third-party manufacturers, OEM partners, payment gateways, logistics providers, or other external websites. ITS is not responsible for the content, accuracy, security practices, or terms of any third-party site or service. Your use of any third-party product or service is subject to that third party’s own terms and warranties.

Warranties and Disclaimers

Hardware and software products supplied by ITS carry the warranty offered by the respective OEM/manufacturer, subject to the terms of that manufacturer’s warranty policy. ITS does not independently extend or guarantee manufacturer warranty terms beyond what is provided by the OEM, except where explicitly agreed in writing (e.g., under a separate AMC or support agreement).

Except as expressly stated, the website and its content are provided on an “as is” and “as available” basis, without warranties of any kind, whether express or implied, including but not limited to fitness for a particular purpose, non-infringement, or uninterrupted/error-free operation.

Limitation of Liability

To the maximum extent permitted by applicable law, I.T. Solutions India Pvt Ltd, its directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or business opportunity, arising out of or in connection with your use of the Website or Services. Our aggregate liability for any claim relating to a specific product or service shall not exceed the amount actually paid by you for that specific product or service.

Indemnification

You agree to indemnify and hold harmless I.T. Solutions India Pvt Ltd and its officers, employees, and agents from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising from your breach of these Terms, misuse of the Website, or violation of any applicable law or third-party right.

Service Agreements / AMC / Support Contracts

Where you engage ITS for implementation, managed services, or an Annual Maintenance Contract (AMC), the specific scope of work, service levels (SLAs), response times, deliverables, and commercial terms will be set out in a separate signed agreement or statement of work. In case of any inconsistency between such an agreement and these Terms, the specific agreement will prevail for that engagement.

Suspension and Termination

We reserve the right to suspend or terminate your access to the website or any ongoing order/service, with or without notice, in cases of suspected fraud, non-payment, violation of these terms, or where required by law. Termination does not affect any rights or obligations that accrued prior to termination, including outstanding payment obligations.

Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of India. Subject to Section 14 below, the courts at New Delhi, India, shall have exclusive jurisdiction over any disputes arising out of or in connection with these Terms.

Dispute Resolution

In the event of any dispute, controversy, or claim arising out of or relating to these Terms, the parties shall first attempt to resolve the matter amicably through good-faith negotiation. If unresolved within 30 days, either party may refer the dispute to arbitration under the Arbitration and Conciliation Act, 1996, with a sole arbitrator appointed by mutual consent, seated in New Delhi, India, and conducted in English.
